Payment of an invoice may constitute acceptance of the associated project terms when this has been clearly communicated to the client before payment.
If a signed or otherwise accepted project agreement conflicts with these general Terms, the specific project agreement will prevail to the extent of that conflict.
If you are engaging us on behalf of a company or organization, you represent that you are authorized to act on its behalf.
3. Website Use
You may use our website to learn about our services, view our portfolio, request quotations, and communicate with our team.
You agree not to:

- Attempt to exploit vulnerabilities or bypass security restrictions.
- Use automated tools to disrupt or overload our systems.
We may restrict or block access when reasonably necessary to address security threats, unlawful activity, or material violations of these Terms.
4. Project Inquiries and Quotations
Clients may submit project inquiries using our website's contact forms, email, or other authorized communication channels.
Submitting an inquiry does not automatically establish a contractual relationship or guarantee acceptance of a project.
Before commencing work, Gentlecore may provide a proposal or quotation outlining:
- Project objectives and deliverables
- Scope of work
- Features and technical requirements
- Estimated completion timeline
- Project cost and payment schedule
- Revisions and approval procedures
- Third-party services or subscriptions
- Maintenance and support arrangements
- Additional project-specific conditions
Quotations are subject to their stated validity periods, if any.
Any change to an approved scope may require a revised quotation, timeline, or additional service fee.
5. Project Development and Client Responsibilities
Successful project delivery requires timely communication and cooperation between Gentlecore and the client.
Clients are responsible for providing necessary materials, approvals, and project information, which may include:
- Business descriptions and website content
- Logos, photographs, and branding materials
- Product or service descriptions
- Contact details and business information
- Domain and hosting access
- Required software integrations
- Authorized administrative access
- Feedback and project approvals
Clients must ensure that materials supplied for use in a project are accurate, lawful, and appropriately licensed.
Gentlecore is not responsible for delays caused by missing materials, late feedback, inaccessible third-party systems, or changes to previously approved requirements.
When such circumstances occur, project milestones and delivery schedules may be adjusted through communication with the client.
6. Project Timelines and Delivery
Estimated completion dates will be communicated through the applicable proposal or project agreement.
Timelines may depend on project complexity, client responsiveness, technical requirements, and third-party integrations.
We will make commercially reasonable efforts to complete accepted work according to agreed schedules.
However, estimated dates do not constitute an unconditional guarantee unless expressly stated in a written agreement.
Delays caused by client-requested changes, unavailable materials, external service disruptions, or events beyond our reasonable control may affect delivery.
7. Pricing, Deposits, and Payments
Project fees and payment conditions are determined by the applicable quotation, invoice, or service agreement.
Depending on the project, Gentlecore may require an initial deposit before development begins, with remaining payments linked to agreed milestones or project completion.
The amount of any deposit and the payment schedule will be disclosed before the client commits to the service.
We may accept payments through approved channels, including PayPal, GCash, bank transfers, or other methods agreed upon with the client.
Clients are responsible for any disclosed transaction charges, applicable taxes, or third-party fees as specified in their agreement.
Additional services beyond the agreed scope may require a separate quotation and approval.
In the event of overdue payments, Gentlecore may pause further project work or, where permitted by the applicable agreement and law, suspend affected services after appropriate notice.
We will not impose undisclosed charges or modify an accepted project price without an applicable contractual basis or agreement.
8. Revisions and Scope Changes
The number and extent of design or development revisions depend on the accepted project agreement.
Revisions typically concern reasonable adjustments to deliverables already included in the agreed scope.
Examples of additional work that may require separate charges include:
- New website pages or modules
- Additional booking or payment functionality
- Major layout or design changes after approval
- New software integrations
- Additional user roles or dashboards
- New content or product migrations
- Significant changes to project requirements
- New features requested after completion
Gentlecore will communicate material additional costs and obtain approval before proceeding with chargeable work.
9. Website Hosting Services
Gentlecore may provide web hosting services directly or through third-party infrastructure providers.
Hosting arrangements may include website storage, database hosting, server configuration, technical monitoring, and related services.
Hosting availability and performance depend partly on third-party infrastructure, network conditions, application configuration, and external service providers.
Although we aim to provide reliable hosting, we do not guarantee uninterrupted availability or error-free operation.
Hosting subscriptions, resource limits, backup arrangements, renewal dates, and any applicable service commitments will be specified in the relevant agreement.
Clients are responsible for complying with applicable hosting-provider policies and avoiding unlawful or resource-abusive activities.
Unless expressly included in a maintenance or managed hosting agreement, routine hosting does not automatically include unlimited website redesigns, custom development, malware remediation, or ongoing technical troubleshooting.
10. Domain Registration and Renewal
Gentlecore may assist clients with domain registration, DNS configuration, domain transfers, and annual renewals.
Domain registration and renewal are subject to the policies, availability, pricing, and technical requirements of the relevant domain registrar and registry.
A requested domain is not guaranteed to be available until registration has been successfully completed.
Domain renewal fees are generally recurring and may vary according to registrar pricing, domain extension, exchange rates, and applicable taxes.
Clients are responsible for settling renewal invoices before the applicable deadline.
Failure to renew a domain on time may result in website or email interruption, domain expiration, redemption charges, or loss of the domain name.
We cannot guarantee recovery of an expired domain.
Domain registration arrangements should identify the proper registrant and administrative ownership according to the client's agreed instructions and applicable registrar policies.
Upon satisfaction of applicable contractual obligations, we will reasonably cooperate with legitimate domain management or transfer requests, subject to registrar restrictions and applicable law.
11. Business Email and Third-Party Integrations
Gentlecore may assist with business email configuration, DNS authentication, SMTP services, Microsoft 365, Google Workspace, and other third-party platforms.
The availability, functionality, pricing, and policies of these services are controlled by their respective providers.
Clients remain responsible for subscriptions, licensing fees, account access, verification requirements, and provider-specific obligations unless otherwise agreed.
Gentlecore cannot guarantee email delivery to every recipient, uninterrupted access to third-party platforms, or exemption from spam filtering and account restrictions.
Additional troubleshooting, account recovery, migration, or configuration work outside the original scope may require a separate service fee.
12. Website Maintenance and Technical Support
Website maintenance and technical support may be offered through individual service requests, ongoing support agreements, or periodic maintenance plans.
Depending on the agreement, support may include:
- Software and security updates
- Website troubleshooting
- Technical configuration
- Database maintenance
- Backup assistance
- Website performance improvements
- Malware investigation and remediation
- Minor content or design adjustments
- Hosting and email support
Maintenance services are not automatically included indefinitely after project delivery.
Support coverage, response targets, fees, and service exclusions will be specified in the applicable agreement.
Urgent repairs, significant development changes, third-party outages, and work resulting from unauthorized modifications may require additional fees.
13. Website Security and Backups
Gentlecore follows reasonable security practices when developing, deploying, and maintaining websites and applications.
These may include secure authentication, software updates, access restrictions, HTTPS configuration, and other appropriate technical safeguards.
However, no website, server, software platform, or hosting environment can be guaranteed to be completely immune from cyberattacks, vulnerabilities, unauthorized access, or data loss.
Backup frequency, retention, restoration arrangements, and responsibilities depend on the applicable hosting or maintenance agreement.
Clients should maintain independent copies of important business data and content unless a specific managed backup arrangement has been agreed.
Gentlecore will use reasonable care in carrying out authorized technical services but cannot guarantee recovery of information for which no usable backup exists.
14. Intellectual Property and Website Ownership
The ownership and licensing of project deliverables are governed by the applicable written project agreement.
Unless otherwise agreed:
Client-provided materials: Logos, text, photographs, trademarks, and other content supplied by the client remain the property of the client or their respective rights holders.
Custom deliverables: Rights to project-specific custom work will be transferred or licensed according to the accepted project agreement, typically upon settlement of the applicable fees.
Pre-existing development assets: Gentlecore retains ownership of its pre-existing tools, reusable code, frameworks, templates, development methods, and proprietary systems unless expressly assigned.
Third-party software: WordPress, Shopify, Laravel, plugins, libraries, fonts, images, and other third-party components remain subject to their applicable licenses and terms.
Clients may not receive ownership of third-party software merely because it has been installed, configured, or incorporated into a project.
Any licensing rights necessary for the client's agreed use of the completed project should be documented in the relevant agreement.
15. Portfolio and Project Showcases
Gentlecore may display completed projects on its website or professional portfolio for informational and promotional purposes where authorized or otherwise legally permitted.
Portfolio content may include screenshots, project descriptions, business names, and links to publicly accessible websites.
Confidential information, private credentials, nonpublic business documents, and sensitive project data will not be intentionally disclosed for promotional purposes.
Where a client agreement restricts portfolio publication, those restrictions will be respected.
Clients may contact us regarding the use of project materials in our portfolio.
16. Confidentiality
Gentlecore recognizes that projects may involve confidential business information, proprietary systems, development documentation, and administrative credentials.
We will handle confidential information with reasonable care and restrict its use to authorized project purposes, subject to applicable legal obligations.
Clients are likewise expected to protect confidential materials, credentials, and proprietary information belonging to Gentlecore.
Specific confidentiality or nondisclosure agreements will apply where separately executed.
Clients should use appropriately secure channels when sharing passwords, access tokens, sensitive records, or confidential account information.
17. Third-Party Software and Services
Our projects may incorporate software and services supplied by independent providers.
These may include payment gateways, booking platforms, email providers, domain registrars, web hosting infrastructure, APIs, analytics tools, and third-party plugins.
Such services are subject to their respective providers' terms, policies, limitations, and availability.
Gentlecore is not responsible for independent third-party policy changes, service discontinuation, pricing changes, or outages beyond our reasonable control.
Where an external service causes a technical issue, we may assist with diagnosis or resolution under the applicable support arrangement.
18. Search Engine Optimization and Website Performance
Gentlecore may provide technical SEO, website optimization, indexing assistance, and performance improvements.
These services may involve search-engine-friendly website structures, metadata, sitemap generation, speed optimization, accessibility improvements, and other recommended practices.
However, search engines and external platforms independently determine rankings, indexing, visibility, and search result presentation.
We do not guarantee specific Google rankings, traffic levels, sales conversions, search impressions, or placement in search results unless an express and legally supportable commitment is included in a separate agreement.
Website performance may also be affected by hosting resources, third-party scripts, browser capabilities, user devices, and changing external technologies.
19. Cancellations, Refunds, and Project Termination
Cancellation and refund arrangements depend on the service purchased, the accepted project agreement, work already performed, third-party expenses incurred, and applicable law.
For custom development projects, eligible refunds or adjustments may take into account completed work, approved milestones, nonrecoverable expenses, and any applicable contractual terms.
Domain registration, third-party subscriptions, hosting renewals, and licensing fees may be subject to external provider refund restrictions.
However, no provision of these Terms is intended to exclude or restrict any refund, cancellation, or other remedy that a client is legally entitled to receive.
Clients wishing to cancel a project or service should notify us through an authorized communication channel.
We will review the request and explain any applicable financial obligations, remaining deliverables, and account handover arrangements.
Gentlecore may terminate or suspend services for material contractual violations, unlawful conduct, security threats, or unresolved nonpayment, subject to applicable notice requirements, agreements, and law.
20. Account Access and Project Handover
When applicable, Gentlecore may provide clients with administrative access, website files, credentials, documentation, or other agreed project deliverables.
The handover process depends on the project scope, software licenses, hosting arrangements, security requirements, and satisfaction of applicable contractual obligations.
We will reasonably cooperate with authorized migration or transfer requests.
Additional migration assistance, data preparation, documentation, custom exports, or technical support may require separate fees when not included in the original agreement.
Clients are responsible for maintaining the confidentiality of credentials provided to them and managing access granted to their employees, contractors, or other authorized users.
21. Privacy and Data Protection
We respect personal information and process it in accordance with applicable privacy and data protection laws.
Our collection, use, storage, sharing, and protection of personal information are described in our separate Privacy Policy.

22. Disclaimer of Warranties
Our website and its general informational content are provided on an "as available" basis.
We make reasonable efforts to maintain accurate information and reliable website functionality.
However, to the extent permitted by applicable law, we do not warrant that the website will always be uninterrupted, error-free, or free from external technical disruptions.
Professional development deliverables and services are subject to the warranties, commitments, specifications, and remedies contained in the applicable service agreement.
Nothing in this section excludes warranties or consumer protections that cannot lawfully be excluded.
23. Limitation of Liability
To the extent permitted by applicable law, neither Gentlecore nor the client will be responsible for indirect or consequential losses arising from a breach of these Terms where such losses are not legally recoverable.
Liability for professional services will be determined under the applicable project agreement and governing law.
We will not be responsible for losses caused solely by circumstances outside our reasonable control, such as independent third-party infrastructure failures, unauthorized client modifications, or misuse of supplied systems, except where liability is imposed by law.
Nothing in these Terms limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be limited or excluded.
24. Events Beyond Reasonable Control
Neither party will be responsible for delays or failures in performance caused by events beyond its reasonable control, to the extent permitted by applicable law.
Such events may include natural disasters, widespread telecommunications outages, major infrastructure disruptions, government restrictions, or other extraordinary circumstances.
The affected party should provide reasonable notice where practicable and take appropriate steps to minimize disruption.
Payment obligations, termination rights, and remedies will remain subject to applicable agreements and law.

27. Updates to These Terms
Gentlecore may modify these Terms to reflect changes in our services, website functionality, legal requirements, or business operations.
Updated Terms will be published on this website with a revised "Last Updated" date.
Material changes affecting existing contractual relationships will be handled in accordance with the applicable agreement and legal requirements.
